Terms of Service

1. Introduction
Welcome to TheSmallBizCMO,LLC ("we," "our," or"us"). By accessing or using our website and services, you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these Terms, you may opt not to use our services.

2. Services
We provide marketing consulting services, which may include but are not limited to:
- Marketing strategy development
- Brand positioning and management
- Digital marketing campaigns
- Social media marketing
- Content creation and management
- Market research and analysis
The specific services provided will be outlined in a separate ServicesAgreement between us and the client.

3. User Guidelines
When using our services, you agree to:
- Provide accurate and complete information
- Use our services only for lawful purposes
- Respect intellectual property rights
- Maintain the confidentiality of any login credentials

4. Intellectual Property
All content, trademarks, logos, and other intellectual property on our website are owned by TheSmallBizCMO, LLC. You may not use, reproduce, or distribute our intellectual property without our express written permission.

5. Confidentiality
We respect the confidentiality of our clients' information. Any confidential inprotected as outlined in our Marketing Consulting Agreement.

6. Payment and Fees
Our fees and payment terms will be specified in the Marketing Consulting Agreement. Generally, we may charge:
- Flat fees for specific projects
- Hourly rates for ongoing services
- Retainer fees for long-term engagements- Payment in full is required before the transfer of intellectual property for one-off services—no exceptions.

Additional expenses incurred during the provision of services may be subject to reimbursement as agreed upon in the Services Agreement.

7. Revisions Policy

1.    Strategic Documents: Strategic documents are based on the best available information at the time of creation and represent an interpretation of that information. These documents are final and not subject to revision.
2.    Tactical Documents: Tactical documents (e.g., content calendars) can be revised up to two times. Additional revisions will incur hourly charges as outlined in the Marketing Consulting Agreement.

8. Disclaimer of Warranties and Limitation of Liability

Disclaimer: The strategic and tactical documents we produce are advisory in nature. While they are created in good faith and based on prior experience, no performance guarantees—expressed or implied—are provided due to the many variables that affect marketing outcomes.

Limitation of Liability: To the fullest extent permitted by law, TheSmallBizCMO, LLC shall not be liable for any indirect, incidental,special, consequential, or punitive damages, or any loss of profits or revenues.

Erroneous Information: We are not liable for any information proven erroneous after publication within strategic documents.

9. Indemnification
You agree to hold TheSmallBizCMO, LLC harmless from any harm or damage to your brand or business resulting from your implementation or interpretation of advice provided by us.

10. Support Periods
Email or phone support begins at the moment of delivery of the contracted product or service. Support periods cannot be extended due to non-use.

11. Consultation Sessions
Missing more than two scheduled review sessions without prior cancellation will result in the forfeiture of consultation periods. Canceling a consultation meeting within 12 hours of the scheduled time without a reasonable excuse will count toward the forfeiture criteria.

12. Termination
Either party may terminate the service relationship as specified in the Marketing Consulting Agreement. Upon termination: You will be required to pay for all services rendered up to the termination date. Any unused consultation periods or support will not be refunded unless otherwise agreed upon in writing.

13. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of Maryland. Any dispute arising from these Terms or our services shall be resolved through arbitration in accordance with[Arbitration Association] rules before resorting to litigation.

14. Changes to Terms
We reserve the right to modify these Terms at any time. We will notify users of significant changes by posting an update on our website.
